END USER LICENSE AGREEMENT

DynaTrail Dispatch

Effective Date: February 13, 2026

1. Acceptance of Terms

This End User License Agreement (“Agreement”) governs your access to and use of DynaTrail Dispatch (“DynaTrail”, “we”, “us”, or “our”), including all software, web applications, features, and services provided through the platform (the “Service”).

By accessing or using the Service, you agree to be bound by this Agreement. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to this Agreement.

You must be at least 18 years old to use the Service.

2. License Grant

Subject to this Agreement, DynaTrail grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations.

This Agreement does not transfer ownership of the software or any intellectual property. DynaTrail retains all rights, title, and interest in and to the Service.

3. Accounts and Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity occurring under your account
  • Managing employee and user access
  • Ensuring appropriate role-based permissions are assigned
  • Verifying accuracy of all operational and financial data entered

You are solely responsible for compliance with all applicable transportation, tax, customs, employment, privacy, and regulatory laws relevant to your operations.

4. Customer Data

You retain ownership of data you upload or generate within the Service (“Customer Data”).

Customer Data may include:

  • Dispatch records
  • Client information
  • Carrier and driver records
  • Equipment data
  • Financial and billing data
  • PODs, BOLs, customs documents, and other uploaded files

Data is stored using commercially reasonable security measures, including encryption and HTTPS transmission. Data is hosted in the United States (AWS region: San Francisco). By using the Service, you consent to cross-border storage and processing.

No system is completely secure. While we implement reasonable safeguards, DynaTrail does not guarantee absolute security.

DynaTrail is not responsible for data loss caused by:

  • User error
  • Third-party providers (AWS, Stripe, QuickBooks)
  • Internet failures
  • Force majeure events

Export functionality is not guaranteed. DynaTrail may retain or delete Customer Data following cancellation in accordance with internal retention policies.

5. Operational Communications

The Service enables sending operational communications including:

  • Rate confirmations
  • Driver confirmations
  • Carrier confirmations
  • Invoices
  • Customs documents
  • Bills of lading
  • Other transactional emails

You are solely responsible for:

  • Verifying recipient email addresses
  • Accuracy of transmitted documents
  • Legal compliance of communications
  • Ensuring delivery confirmation

DynaTrail is not liable for:

  • Failed email delivery
  • Operational losses
  • Missed pickups or deliveries
  • Financial losses resulting from user error

6. Billing and Payment

Access to the Service requires a valid credit card processed via Stripe.

After your demo and signup, you receive a 30-day promotional period during which billing does not occur. This is not a trial and does not require cancellation unless you choose to discontinue use.

Billing begins automatically on day 31 unless the account is cancelled prior to that date.

You may cancel at any time, including during the promotional period.

Payments are non-refundable. Partial months are not prorated unless required by law.

Failure to process payment may result in suspension or termination of access.

Stripe is a third-party payment processor. DynaTrail is not responsible for Stripe service interruptions or processing errors.

7. Third-Party Integrations

The Service may integrate with third-party services including:

  • QuickBooks
  • Stripe
  • Amazon Web Services

DynaTrail is not affiliated with or responsible for third-party service availability, outages, data inaccuracies, or integration failures.

Financial reports generated within the Service, including broker profit and loss reporting, are provided for informational purposes only and are not a substitute for professional accounting advice.

8. Acceptable Use

You agree not to:

  • Reverse engineer or attempt to copy the software
  • Use the Service for unlawful purposes
  • Upload malicious code
  • Attempt unauthorized access
  • Use the Service to send spam or fraudulent communications

DynaTrail reserves the right to suspend or terminate accounts for violations.

9. Service Availability

The Service is provided “as is” and “as available.”

We do not guarantee uninterrupted availability, uptime, or error-free operation.

We may modify features, perform maintenance, or discontinue features at our discretion.

10. Limitation of Liability

To the maximum extent permitted by law:

DynaTrail shall not be liable for:

  • Indirect damages
  • Lost profits
  • Business interruption
  • Loss of data
  • Regulatory penalties
  • Operational losses
  • Consequential or special damages

Total liability under this Agreement shall not exceed the amount paid by you to DynaTrail in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless DynaTrail from any claims, damages, or liabilities arising from:

  • Your use of the Service
  • Your uploaded data
  • Your violation of laws or regulations
  • Actions of your employees or users

12. Termination

You may cancel your account at any time.

DynaTrail may suspend or terminate access for violation of this Agreement or non-payment.

Upon termination, access to the Service will cease.

13. Governing Law

This Agreement is governed by the laws of the Province of British Columbia, Canada, without regard to conflict of law principles.

Any disputes shall be resolved in the courts of British Columbia.
